KSR Bylaws AMENDMENTS-3-July-02-20202020 Amendment to KSR Bylaws – What and Why

Bylaws Subcommittee has performed several rounds of review and is proposing to amend the Bylaws primarily in two areas

  1. Tenure of the BOT: We are proposing to change the tenure of BOT members from 3 years to 4 years. (See Section 4.5)

Rationale: The three-year term was based on the initial scheme of conducting a national event annually. However, the national event has become a biennial activity for the last several years.

With the three-year term,  an elected committee may be responsible to conduct either one biennial event or two, depending on the year when the elections are held. This problem would be eliminated by extending the term of the BOT to four years because this enables each elected committee to be responsible for two biennial events uniformly.

  1. Composition of BOT: We are proposing the BOT to consist of two parallel committees of five member each instead of the current one Executive Committee (EC) and five members with no defined roles other than being member of the BOT. The new committee called Policy Advisory Committee (PAC) will be responsible foe advising BOT on policy matters and long-term planning. It will also consist of an Additional Secretary and Internal Auditor who work side-by-side with Executive Secretary and Executive Treasurer respectively

Rationale: 

Currently the entire BOT  is responsible for setting policy while a subset of BOT identified as EC is responsible for executing the policies and operations for the various functions of KSR.

With the proposed parallel committees, the two committees will function independently while supporting each other, share responsibilities with each member of the BOT having a designated role.

The ARTICLES 4 and 5 are reorganized  and expanded to describe the roles and responsibilities of each position showing how the BOT and its two committees are expected to function.
